ShapeEd — Terms of Use

Welcome to ShapeEd! These Terms of Use (“Terms”) govern your access to and use of the ShapeEd platform, services, and content (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By creating an account, uploading content, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may update these Terms periodically, and we will notify you of material changes via email or a website notice. Your continued use of the Service after such changes indicates your acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use ShapeEd. If you are accessing the Service on behalf of a school, district, or organization, you represent and warrant that you have the authority to bind that entity to these Terms. The Service is intended for educators and is not designed for direct use by students without supervision.

3. Service Description

ShapeEd provides AI-assisted adaptations for K-12 educational assignments, enabling modifications based on WIDA English Language Proficiency (ELP) levels or reading disabilities (e.g., dyslexia). All modifications and suggestions generated by the Service must be reviewed by a qualified educator for accuracy, relevance, and alignment with local curriculum standards before use in a classroom setting. ShapeEd does not replace the professional judgment of educators or their legal obligations under applicable education laws.

4. User Accounts

Account Creation: You must provide accurate, complete, and up-to-date information during registration, including your name, email, and billing details (processed via Stripe).
Account Responsibility: You are responsible for all activities under your account. Keep your login credentials confidential and notify us immediately at shapeedllc@gmail.com if you suspect unauthorized use.
Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms, engage in prohibited activities, or fail to maintain an active subscription (if applicable).

5. User Conduct

You agree to use the Service responsibly and not to engage in any unlawful, harmful, or prohibited activities, including:

Uploading or transmitting content that is offensive, defamatory, obscene, or otherwise inappropriate for an educational setting.
Infringing on the intellectual property, privacy, or other rights of third parties.
Attempting to breach, circumvent, or interfere with the Service’s security measures, including unauthorized access to other users’ accounts.
Using the Service to distribute malware, spam, or other harmful content.

6. Intellectual Property

The ShapeEd name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ShapeEd LLC or its affiliates. You may not use these marks without our prior written permission. All content you upload (e.g., assignments) remains your property, but by uploading, you grant ShapeEd a non-exclusive, worldwide, royalty-free license to process, modify, and display the content solely for the purpose of providing the Service. Uploaded content is deleted after processing and is not retained.

7. Subscription and Payment

ShapeEd operates on a subscription model with plans for individuals, schools, and districts. Payments are processed securely via Stripe. You agree to pay the fees associated with your selected plan (monthly or yearly) and authorize Stripe to charge your payment method. Subscriptions renew automatically unless canceled. We reserve the right to modify pricing with prior notice, and such changes will apply to your next billing cycle.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SHAPEED LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT MODIFICATIONS WILL BE ACCURATE OR SUITABLE FOR ALL EDUCATIONAL CONTEXTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAPEED LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR EDUCATIONAL OUTCOMES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless ShapeEd LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your uploaded content, or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall first be resolved through good-faith negotiations. If unresolved, disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. You agree to waive any objections to the venue or jurisdiction of such courts.
